Cevian Labs Terms of Service ("Terms")

These Terms of Service (the "Terms") govern your use of the Cevian Labs ("Cevian Labs," "we," "us," or "our") website located at https://cevianlabs.io and your purchase and access to all Cevian Labs software-as-a-service products (collectively, the "Services").

By accessing or using any of the Services, you agree to be bound by these Terms and the documents referenced herein. If you disagree with any part of the terms, you must not use the Services.

1. Relationship to Other Documents

These Terms govern your general relationship with Cevian Labs and your use of our website. Access to and use of any Cevian Labs software platform (individually, a "Service") is subject to two additional, mandatory agreements:

  • End-User License Agreement (EULA): This separate agreement governs the licensing of a specific Service, sets forth the permitted and restricted uses of the underlying technology, and defines data ownership.
  • Privacy Policy: This policy explains how we collect, use, and protect all data, including the Input Data and Network Data (IP Addresses) associated with your use of the Services.

By agreeing to these Terms, you also agree to be bound by the most recent version of the EULA specific to the Service you are using and the general Privacy Policy.

2. General Website Use and Restrictions

a. Permitted Use

You are granted a non-exclusive, non-transferable, revocable license to access and use the website strictly in accordance with these Terms. You may use the informational pages for research, evaluation, and to purchase the Services.

b. Prohibited Use

You agree not to use the website or any Service:

  • For any unlawful purpose or in any way that breaches any applicable local, national, or international law.
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website or Services, or which, as determined by us, may harm Cevian Labs or users of the Services.
  • To attempt to gain unauthorized access to any portion or feature of the website, a Service, or any other systems or networks connected to Cevian Labs.

3. Purchases and Account Management

a. Ordering the Services

The Services are offered in various tiers and pricing structures as detailed on our product pages. All orders are subject to acceptance by Cevian Labs. We reserve the right to refuse or cancel any order for any reason, including but not limited to service availability, errors in the description or price of the product, or error in your order.

b. Payment, Fees, and Billing

You agree to pay all charges incurred by users of your account at the prices in effect when such charges are incurred. Payment methods are processed securely via third-party processors (such as Square). Cevian Labs is not liable for errors or security breaches committed by the payment processor.

c. Refunds and Cancellation

All fees paid for data processing jobs or service subscriptions are generally non-refundable. Once a Service job has been submitted and processing has begun, the work cannot be reversed or refunded. Any exceptions will be handled on a case-by-case basis at the sole discretion of Cevian Labs.

4. Intellectual Property Rights

a. Website Content

All content on the Cevian Labs website, including text, graphics, logos, images, product names, and service marks, are the property of Cevian Labs or its suppliers and are protected by copyright and intellectual property laws.

b. Software and Data

As explicitly stated in the EULA for each respective Service:

  • Cevian Labs retains all rights, title, and interest in and to any Service, including its algorithms, underlying technology, and derivatives.
  • The Licensee retains all ownership rights to the Input Data (files uploaded) and the Output Data (processed results) generated from their account.

5. Disclaimers and Warranties

THE WEBSITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CEVIAN LABS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER:

Any dispute arising out of or relating to these Terms or the Services shall be resolved by mandatory, binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

The arbitration shall take place exclusively in Denver, Colorado. You and Cevian Labs agree that all claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

7. Changes to the Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Effective Date" at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms of Service.
